Registration & Entry:
Participation constitutes registrant's full and unconditional agreement to and acceptance of these Official Rules and Conditions. No purchase or payment of money is necessary to enter.
To register for the APC's Ride of a Lifetime Challenge (also referred to herein as the "Promotion"), simply fill out the online form completely. Online registrants must have a valid email address. Limit of one entry per electrical contractor. Multiple entries by the same contractor using one or more e-mail accounts will not be accepted. All federal, state and local taxes associated with the receipt or use of any prizes are the sole responsibility of the winner.
All potential APC's Ride of a Lifetime Challenge registrants are subject to verification by Sponsor, whose decisions are final and binding in all matters related to the promotion. Sponsor reserves the right to disqualify any registrant that Sponsor determines, in its sole discretion, violates these Official Rules and Conditions.
Time Period:
The APC Ride of a Lifetime Challenge runs from 12:01 AM (EST) October 1, 2009 until 11:59 PM (EST) September 15, 2010 in the United States and until 11:59 PM (EST) September 30, 2010 in Canada. Winners will be announced during the third calendar quarter of 2010.
Eligibility:
This offer is open to electrical contractors located within the U.S. and Canada excluding residents of Quebec. An electrical contractor is defined as a firm that performs specialized construction work related to the design, installation, and maintenance of electrical systems. Further designation as electrical contractor is based on contractor profile provided to APC upon promotion registration. All federal, state, and local laws and regulations apply. Offer not valid with any other offer. Void where prohibited or otherwise restricted by law. Residents of Quebec, Canada are not eligible to participate in the APC's Ride of a Lifetime Challenge. Electrical distributors are not eligible to participate in the Promotion. APC employees or family members are not eligible to win. By participating in the Promotion, you forever release APC, its subsidiaries and affiliates, and their respective officers, directors, employees, and agents from any liability whatsoever for any claims, costs, injuries, losses or damages of any kind arising, directly or indirectly, out of or in connection with the APC's Ride of a Lifetime Challenge or acceptance, possession or use of any promotional product awarded in connection with said Promotion, including, without limitation, claims, costs, injuries, losses or damages related to personal injuries, death, damage to or destruction of personal property, rights of publicity or privacy, defamation or portrayal in a false light, whether intentional or unintentional. In case of unavailability of a prize, APC reserves the right to substitute a prize of comparable value, as determined by APC in its sole discretion. APC reserves the right to change the eligibility requirements at any time.
In order to be eligible to participate in the APC's Ride of a Lifetime Challenge, electrical contractors must complete online registration and be approved by APC in its sole discretion to participate. Following online registration and approval, promotion eligible participants shall accrue one (1) Chopper Key for each 3-phase project opportunity registered with APC. More than one participant may win a Key for registering the same opportunity with APC. Eligible participants shall accrue four (4) Chopper Keys for each 3-phase project that closes provided the opportunity has already been pre-registered and approved. To be eligible for the additional 4 Keys for closing an opportunity, contractor must also have been one of the contractors registering the opportunity.
Keys will be awarded based upon documentation which verifies to APC's satisfaction the supporting project registration and sales. In order to be eligible to receive associated promotional Chopper Keys, participating electrical contractors must register 3-phase UPS opportunities via the APC's Ride of a Lifetime Challenge Portal by clicking on the "Register Your Project Now" link. Eligible participants will qualify for Chopper Keys if the registered opportunity is validated and closed according to APC's Ride of a Lifetime Challenge rules. APC's Opportunity Registration Program rules do not apply to the APC's Ride of a Lifetime Challenge. Non-programmed electrical contractors (those who are not already enrolled in one of APC's Channel Partner Programs) are eligible to participate in this Promotion, but do not qualify for APC's Opportunity Registration Program discounts.
Determination:
Eligible participants who have accrued Chopper Keys for the APC's Ride of a Lifetime Challenge as set forth above will be entered into one (1) of eight (8) regional drawings for the winning Key and may be awarded a promotion Chopper. Only one winner designated per region. Only one grand prize per electrical contractor firm. Regions and regional event locations shall be determined by APC in its sole discretion.
Promotion Choppers are awarded to the electrical contractor firm, not to the individual registrant(s).
The winning Key will be picked at random and its identification number announced at one of the regional award events series. Award decisions by APC are final.
The odds of winning depend on number of Keys awarded per region.
Verification of Potential Winners:
Potential winners must continue to comply with all terms and conditions of these Official Rules and Conditions, and winning is contingent upon fulfilling all requirements. If a potential winner of any prize cannot be contacted, or fails to sign and return the affidavit of eligibility, liability/publicity release and form 1099 or other federal tax form (or Canadian equivalent) form within the specified time period (if required), potential winner forfeits prize. Chopper Key winner events will be held during the third calendar quarter of 2010.
A registrant is not a winner of any prize, unless and until registrant's eligibility has been verified by APC and registrant has been notified that verification is complete. APC will not accept purchase order or other evidence of closed projects or opportunities in lieu of the validation and project registration processes described herein. Any entry made after a failure of the system for any reason is deemed a defective entry and is void and will not be honored.
Promotional Product:
No cash substitutes will be awarded in lieu of the promotional product. All promotional products are supplied "AS IS" and "WITHOUT WARRANTY OF ANY KIND," EXPRESS OR IMPLIED (INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE). Any trademarks used in this promotion are the property of the respective trademark owners and are used herein for identification purposes only.
For All Prizes:
Prizes are non-transferable and no substitution will be made except at APC's sole discretion. Winner is responsible for all taxes and fees associated with prize receipt and/or use, including without limitation any title and registration fees. To the extent necessary, prize winners shall cooperate fully with APC for the purpose of transferring title and registration to the Promotion Choppers.
Eight (8) prize winners will receive a Promotion Chopper that has an Approximate Retail Value (ARV) of USD $30,000. Only one Promotion Chopper will be awarded per region. No transfer, refund or substitution of any prize is permitted, except that the Sponsor retains the right to substitute prizes of comparable value, as determined in Sponsor's sole discretion, for any reason.
APC reserves the right to present the Promotion Chopper at the awards event or to ship the Promotion Chopper to the winner's designated address in the continental U.S. and Canada at APC's expense as soon as practicable after said event.
All decisions made by APC in connection with this Promotion, including but not limited to the selection of winners, shall be at APC's sole discretion and shall be final.
Release and Limitations of Liability:
If for any reason the APC's Ride of a Lifetime Challenge cannot be conducted as planned due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or if any other causes beyond the control of the Sponsor corrupt or affect the administration, security, fairness, integrity or proper conduct of this APC's Ride of a Lifetime Challenge, the Sponsor reserves the right at its sole discretion to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the APC's Ride of a Lifetime Challenge, in whole or in part, at any time, without notice and award the Prizes using all non-suspect eligible entries received as of or after (if applicable) this cancellation, termination, modification or suspension date, or in any manner that it deems fair and equitable in its sole discretion. Sponsor assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. Sponsor is not responsible for any problems or technical malfunction of any telephone network or telephone lines, computer on-line systems, servers, or providers, computer equipment, software, failure of any e-mail or entry to be received by Sponsor on account of technical problems, human error or traffic congestion on the Internet or at any Website, or any combination thereof, including any injury or damage to participant's or any other person's computer relating to or resulting from participation in this APC's Ride of a Lifetime Challenge or downloading any materials in this Promotion. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE APC's RIDE OF A LIFETIME CHALLENGE IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW. In the event of a dispute as to the identity of a winner based on an e-mail address, the winning entry will be declared made by the authorized account holder of the e-mail address submitted at time of entry. "Authorized account holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, on-line service provider or other organization (e.g., business, educational, institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.
By participating in this Promotion, registrants agree to release and hold APC, its parent company, affiliates and subsidiaries, and their directors, officers, employees and agents, and all prize suppliers, harmless from any and all losses, damages, rights, claims and actions of any kind in connection with this Promotion or resulting from acceptance, possession, use or misuse of any prize, including without limitation personal injuries, death and property damage, and claims based on publicity rights, defamation or invasion of privacy, whether suffered by registrant or a third party.
Except where prohibited, by participating in this Promotion registrants agree that: (a) any and all disputes, claims and causes of action arising out of or connected with the Promotion or any prize awarded shall be resolved individually and exclusively by the appropriate state or federal court located in Providence, Rhode Island, USA; (b) any and all claims, judgments and awards shall not include out-of-pocket costs incurred, travel expenses or attorney's fees; and (c) participant hereby waives all rights to claim punitive, incidental and/or consequential damages and any other damages, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules and Conditions, or the rights and obligations of participant and Sponsor in connection with the Promotion, shall be governed solely by, and construed exclusively in accordance with, the laws of the State of Rhode Island, without giving effect to any choice of law or conflict of law rules.
Miscellaneous:
APC assumes no responsibility for lost, illegible, corrupted, misdirected, late, stolen, incorrect, or incomplete entries. Specifications, configurations, and photography are subject to change without notice. APC reserves the right to rescind the Promotion or change the applicable rules at any time for any reason without prior notice.
By entering the APC's Ride of a Lifetime Challenge, you consent to being placed on a mailing list for promotional and other materials. Except where prohibited by law, by entering this Promotion winners consent to use of names, likeness, hometowns, statements and photographs for promotional purposes in all forms of media, in perpetuity, without notice, or without additional compensation. Winners may be required to sign eligibility/liability/publicity releases where permitted. All entries become the exclusive property of APC.
Participants agree to abide by these Official Rules and Conditions and by the decisions of the judges, whose decisions are final. Failure to comply with these Official Rules and Conditions may result in disqualification from this Promotion. APC reserves the right to permanently disqualify from this Promotion any person it believes has intentionally violated these rules or otherwise tampered with any element of this Promotion.
Any person attempting to defraud or in any way tamper with the APC's Ride of a Lifetime Challenge mechanics and/or implementation will be prosecuted to the fullest extent of the law. By participating, registrants agree to waive any right to claim ambiguity in the APC's Ride of a Lifetime Challenge or these Official Rules and Conditions.
